Effective Date: 02 June 2026. These Terms of Service govern the rules for using the websites, applications, platforms, communication systems, support services, administrative portals, billing systems, and related services operated by Universal Grid SMC Ltd, trading as UGMail. By accessing or using any part of our services, you confirm that you have read, understood, and agree to be legally bound by these Terms.
1. Eligibility and Permitted Use
The Services are intended for lawful business, professional, organizational, institutional, educational, and commercial communications. You may not use the Services for any unlawful, fraudulent, abusive, harmful, unauthorized, or deceptive purpose. UGMail may refuse, suspend, restrict, or terminate access to the Services when necessary for operational, legal, regulatory, security, compliance, or business reasons.
2. Account Registration and Security
You are solely responsible for keeping your passwords and authentication credentials confidential, managing authorized users within your organization, securing the devices and networks you use to access the Services, and all activities that occur under your Account. UGMail is not responsible for losses arising from unauthorized access caused by weak passwords, sharing credentials, phishing attacks, or compromised devices.
3. Acceptable Use
You agree not to use the Services to send spam or unsolicited bulk communications, conduct phishing, fraud, or impersonation, distribute malware or harmful code, infringe intellectual property rights, harass or harm others, interfere with or disrupt networks or infrastructure, bypass security controls, or engage in activities that may damage the reputation or integrity of UGMail.
4. Billing, Payments, and Subscriptions
Some Services require payment of subscription fees or other charges. If you fail to pay applicable fees, UGMail may suspend your Services, restrict access, deactivate your mailbox, or terminate your Account. Unless required by law or expressly agreed in writing, all payments are non-refundable. UGMail may change pricing, service limits, or subscription structures with notice.
5. Domain Responsibilities
Unless explicitly agreed otherwise in writing, you are responsible for the ownership, registration, renewal, and management of your domains. UGMail is not responsible for service failures caused by expired domains, incorrect DNS records, registrar actions, DNS provider failures, or domain ownership disputes.
6. Privacy and Data Processing
UGMail may collect, process, store, and use information as needed to operate and deliver the Services, process payments, provide customer support, detect abuse and security threats, improve service quality, and comply with legal obligations. Your use of the Services is also governed by the UGMail Privacy Policy.
7. Data Retention and Termination
UGMail may retain, archive, suspend, delete, or remove Customer Data in line with operational needs, subscription status, legal obligations, and internal policies. If your Account is terminated, suspended, expires, or is deleted, your Customer Data may be permanently lost. You are solely responsible for maintaining your own independent backups of important data.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. UGMail disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
9. Limitation of Liability
To the maximum extent permitted by law, UGMail will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data loss, service interruptions, security breaches, or failures of third-party services. UGMail's total aggregate liability will not exceed the total amount you paid for the affected Services during the three months before the event giving rise to the claim.
10. Governing Law
These Terms are governed by the laws of the Republic of Uganda. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the competent courts of Uganda.
