Effective Date: 02 June 2026. These Terms and Conditions govern your access to and use of UGMail websites, applications, platforms, communication systems, support systems, administrative portals, billing systems, and related services operated by Universal Grid SMC Ltd. By accessing or using any part of the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
1. Eligibility and Permitted Use
The Services are intended for lawful business, organizational, institutional, and professional use. You may not use the Services for any illegal, fraudulent, harmful, abusive, or unauthorized purposes. UGMail reserves the right to refuse, suspend, restrict, or terminate access to any User where necessary for operational, security, legal, or compliance purposes.
2. Account Registration
You agree to provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your login credentials, managing authorized access to your account and mailboxes, securing your devices and networks, and all activities that occur under your account.
3. Acceptable Use
You agree not to use the Services to send spam or unsolicited bulk communications, conduct phishing or fraud, distribute malware or harmful software, infringe intellectual property rights, engage in illegal or abusive activities, interfere with platform operations, or circumvent security controls.
4. Billing and Payments
Some Services require payment of recurring subscription fees. Failure to make timely payment may result in suspension or termination of Services. Unless otherwise explicitly stated in writing or required by law, all payments are non-refundable. UGMail reserves the right to revise pricing, features, or subscription structures with reasonable notice.
5. Domain Responsibilities
Unless explicitly agreed otherwise in writing, you remain solely responsible for the management, control, and ownership of your domains. UGMail is not liable for service interruptions caused by expired or suspended domains, incorrect DNS records, registrar actions, or third-party domain provider problems.
6. Security
UGMail implements commercially reasonable security measures to protect the Services and Customer Data. However, no internet-based system can be guaranteed completely secure. You remain responsible for protecting your accounts and credentials, securing endpoint devices, and maintaining appropriate internal security policies.
7. Data Retention and Termination
UGMail may retain, archive, suspend, or permanently remove Customer Data in accordance with operational requirements, subscription status, legal obligations, and internal policies. Deleted Accounts or terminated services may result in permanent loss of Customer Data. You are responsible for maintaining independent backups of critical information.
8. Limitation of Liability
To the maximum extent permitted by law, UGMail shall not be liable for any indirect, incidental, consequential, special, or punitive damages. UGMail's total aggregate liability shall not exceed the total amounts paid by the User during the three months immediately preceding the claim.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes shall be subject to the jurisdiction of competent courts located within Uganda.
