Welcome to UGMail. These Terms and Conditions (“Terms”) govern your access to and use of UGMail websites, applications, platforms, communication systems, support systems, administrative portals, billing systems, and related services operated by ENS Creative Studios Ltd (“UGMail”, “Provider”, “we”, “our”, or “us”).
By accessing, browsing, registering for, purchasing, subscribing to, or using any part of the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must stop using the Services immediately.
1. Definitions
To help you understand these Terms, the following definitions apply:
1.1 Services
“Services” refers to all products, applications, systems, infrastructure, communication tools, software, platforms, websites, email hosting services, and related technologies provided by UGMail.
1.2 User
“User” means any individual, organization, institution, company, or entity accessing or using the Services, whether directly or through an authorized representative.
1.3 Account
“Account” means any registered user profile, mailbox, subscription, or administrative access created within the Services.
1.4 Customer Data
“Customer Data” means any emails, files, messages, domains, records, communications, configurations, or information processed through the Services.
1.5 Platform
“Platform” means all websites, applications, systems, portals, and technologies operated under UGMail.
2. Acceptance of Terms
2.1 Conditions for using the Services
By accessing or using the Services, you confirm that:
(a) You are legally capable of entering into binding agreements under applicable law.
(b) You have the authority to act on behalf of any organization, institution, or entity you represent.
(c) You agree to comply with these Terms and all applicable laws and regulations.
2.2 Disagreement with the Terms
If you do not agree with any part of these Terms, you must immediately discontinue use of all UGMail Services and Platforms.
3. Eligibility
3.1 Intended use
The Services are intended for lawful business, organizational, institutional, and professional use.
3.2 Prohibited purposes
You may not use the Services for any illegal, fraudulent, harmful, abusive, or unauthorized purposes, including activities that violate applicable laws or third-party rights.
3.3 Right to refuse or terminate service
UGMail reserves the right, at its sole discretion, to refuse, suspend, restrict, or terminate access to any User where necessary for operational, security, legal, or compliance purposes.
4. Services Provided
4.1 Scope of services
UGMail provides business communication and related technology services, including but not limited to:
(a) Professional business email hosting
(b) Webmail systems
(c) Mobile and desktop applications
(d) Administrative and collaboration tools
(e) Domain integration services
(f) Storage and communication infrastructure
(g) Technical support services
4.2 Plan-based features
Certain features, limitations, storage allocations, and functionalities may vary depending on the selected subscription plan. Details are typically provided at the time of purchase or subscription.
4.3 Changes to services
UGMail may modify, suspend, enhance, discontinue, or replace any feature or part of the Services at any time. Where reasonable, UGMail will provide notice, but is not obligated to maintain any specific feature.
5. Account Registration
5.1 Account requirement
You may be required to create an Account to access certain Services or features.
5.2 Accurate information
You agree to provide accurate, current, and complete information during registration and when updating your Account details.
5.3 User responsibilities
You are solely responsible for:
(a) Maintaining the confidentiality of your login credentials (usernames, passwords, authentication methods).
(b) Managing and monitoring authorized access to your Account and mailboxes.
(c) Securing your devices, networks, and passwords.
(d) All activities that occur under your Account, whether authorized by you or not.
5.4 Unauthorized access
UGMail shall not be liable for any losses, damages, or incidents arising from unauthorized account access resulting from User negligence, phishing, compromised credentials, weak passwords, or other customer-side security failures.
6. Acceptable Use
6.1 Prohibited activities
You agree not to use the Services to:
(a) Send spam, unsolicited bulk communications, or other forms of mass messaging in violation of applicable laws or industry standards.
(b) Conduct phishing, fraud, impersonation, or other deceptive or misleading activities.
(c) Distribute malware, viruses, ransomware, or any harmful or malicious software.
(d) Infringe or violate intellectual property rights, including copyrights, trademarks, or trade secrets.
(e) Engage in illegal, abusive, harassing, threatening, or harmful activities.
(f) Interfere with, disrupt, or degrade platform operations, infrastructure, or network performance.
(g) Circumvent, disable, or attempt to bypass security controls, usage limitations, or access restrictions.
6.2 Enforcement
UGMail reserves the right to investigate suspected violations and to suspend, restrict, or terminate Accounts involved in prohibited activities, with or without prior notice, where necessary to protect the Services, other users, or comply with legal obligations.
7. Billing and Payments
7.1 Paid services
Certain Services require payment of recurring subscription fees or other applicable charges.
7.2 Pricing and billing terms
Subscription pricing, billing cycles, renewal terms, and applicable limitations will be displayed during purchase, subscription, or provisioning. By subscribing, you agree to these terms.
7.3 Non-payment
Failure to make timely payment may result in suspension, restriction, or termination of Services, including access to mailboxes and Customer Data.
7.4 Refunds
Unless otherwise explicitly stated in writing or required by law, all payments are non-refundable.
7.5 Pricing changes
UGMail reserves the right to revise pricing, features, storage allocations, or subscription structures. Where reasonable, UGMail will provide notice before such changes take effect.
8. Domain Responsibilities
8.1 Domain ownership and management
Unless explicitly agreed in writing, Users remain solely responsible for the management, control, and ownership of their domains.
8.2 DNS and email configuration
UGMail may provide technical guidance regarding DNS, MX, SPF, DKIM, DMARC, or related configurations. However:
You remain responsible for registrar access, domain renewals, and maintaining domain authority.
You must ensure that DNS records are correctly configured and maintained.
8.3 Domain-related interruptions
UGMail shall not be liable for service interruptions, delivery failures, or downtime caused by:
Expired or suspended domains
Incorrect or misconfigured DNS records
Registrar actions or issues
Third-party domain or DNS provider problems
9. Security
9.1 UGMail security measures
UGMail implements commercially reasonable technical and organizational security measures designed to protect the Services and Customer Data from unauthorized access, misuse, or disclosure.
9.2 No absolute security guarantee
You acknowledge that no internet-based system can be guaranteed to be completely secure, and that residual risk always exists.
9.3 User security responsibilities
You remain responsible for:
Protecting your Accounts and credentials
Securing endpoint devices (computers, phones, tablets)
Maintaining appropriate internal security policies and controls
9.4 Security-related suspension
UGMail reserves the right to suspend Accounts or restrict Services where necessary to protect infrastructure security, prevent abuse, or maintain operational integrity.
10. Privacy
10.1 Data collection and use
UGMail may collect, process, store, and use information necessary for:
Operation and delivery of the Services
Security monitoring and incident response
Billing and payment processing
Customer support and service improvement
Legal, regulatory, and compliance obligations
Infrastructure administration and maintenance
10.2 Privacy Policy
Use of the Services is also subject to the applicable UGMail Privacy Policy, which provides more detail on how personal and Customer Data is handled.
10.3 Third-party involvement
You acknowledge that certain operational activities may involve third-party infrastructure providers, payment processors, cloud providers, telecommunications systems, or related technologies. These third parties may process data as part of providing their services.
11. Third-Party Services
11.1 Dependencies on third parties
Certain features or functionalities of the Services may depend on third-party services, systems, or infrastructure that UGMail does not control.
11.2 Availability
UGMail does not guarantee uninterrupted availability or performance of third-party systems, APIs, or external integrations.
11.3 Liability for third-party failures
UGMail shall not be liable for disruptions, downtime, or data issues caused by third-party infrastructure providers or services.
12. Intellectual Property
12.1 Ownership
All branding, software, systems, technologies, interfaces, designs, content, trademarks, and related intellectual property associated with UGMail remain the exclusive property of ENS Creative Studios Ltd or its licensors.
12.2 Restrictions on use
You may not:
Copy, reproduce, or distribute the Services or any part of them, except as expressly permitted
Reverse engineer, decompile, or attempt to derive source code from the Services
Modify, adapt, or create derivative works based on the Services
Exploit the Services for any unauthorized commercial purpose
Any rights not expressly granted in these Terms are reserved by UGMail and its licensors.
13. Data Retention and Termination
13.1 Data handling
UGMail may retain, archive, suspend, or permanently remove Customer Data in accordance with:
Operational requirements
Subscription status and plan limitations
Legal or regulatory obligations
Internal data retention and deletion policies
13.2 Data loss on termination
Deleted Accounts, expired subscriptions, terminated services, or removed mailboxes may result in permanent loss of Customer Data. Once deleted, data may not be recoverable.
13.3 User backups
You are responsible for maintaining independent backups of critical information and Customer Data. UGMail does not guarantee data recovery after deletion, suspension, or termination.
14. Limitation of Liability
14.1 Exclusion of certain damages
To the maximum extent permitted by law, UGMail shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of, or inability to use, the Services.
14.2 Specific exclusions
UGMail shall not be liable for:
(a) Loss of profits, revenue, or business opportunities
(b) Data loss or corruption
(c) Service interruptions or downtime
(d) Security incidents, breaches, or attacks
(e) Failures or outages of third-party services or infrastructure
(f) Business disruption or reputational harm
(g) Internet connectivity issues or network failures outside UGMail’s control
14.3 Liability cap
In all cases, the total aggregate liability of UGMail for any claim arising out of or relating to the Services shall not exceed the total amounts paid by the User for the affected Services during the three (3) months immediately preceding the event giving rise to the claim.
15. Modifications to Terms
15.1 Right to update Terms
UGMail reserves the right to revise, modify, or update these Terms at any time.
15.2 Notice of changes
Updated Terms may be published through official UGMail websites, applications, portals, or other communication channels. The date of the latest revision may be indicated.
15.3 Acceptance of updated Terms
Your continued use of the Services after publication of updated Terms constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services.
16. Governing Law
16.1 Applicable law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda.
16.2 Jurisdiction
Any disputes arising under or in connection with these Terms shall be subject to the jurisdiction of competent courts located within Uganda.
